Terms of Service

Last updated: October 6, 2026

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and Siroka Security LLC ("we," "us," "our"), the operator of ClockPunchPro, a time-tracking web application. By creating an account, signing up as an employee, or using ClockPunchPro, you agree to these Terms. If you do not agree, do not use the service. If you accept on behalf of a company, you represent that you have the authority to bind it.

2. The service

ClockPunchPro provides employee time-tracking tools: web and phone clock in/out, time entries, payroll summaries, and related features. The service is provided "as is" and "as available."

3. Accounts

Company administrators create the company account and are responsible for everyone they add or invite, including the accuracy of employee information. You are responsible for safeguarding your password and for all activity under your account. Employees may only sign up through the invite link provided by their employer.

4. Acceptable use

You agree not to: (a) use the service for any unlawful purpose; (b) attempt to access another company's data; (c) interfere with or disrupt the service; or (d) misrepresent your identity, including spoofing caller ID to clock in as someone else.

5. Phone and SMS features

Phone clock-in identifies employees by caller ID. Caller ID can be inaccurate or spoofed, and you accept this limitation. Standard carrier message and data rates may apply to texts we send you.

6. Your data

You retain your rights in data you submit and grant us the right to store and process it to operate the service. We may retain records as required by law. You are responsible for keeping your own copies of payroll records for tax and legal compliance — do not rely solely on ClockPunchPro as your system of record.

7. No warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be error-free or uninterrupted, or that time records will be perfectly accurate — review payroll data before relying on it.

8. Availability and support

We do not guarantee uptime or availability. The service may be unavailable due to outages, maintenance, or factors beyond our control, with or without notice. We do not guarantee customer service, support response times, or any particular resolution to issues. There is no service-level agreement (SLA).

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST WAGES, PAYROLL ERRORS, OR LOSS OF DATA, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the service, your violation of these Terms, or your violation of any law.

11. Dispute resolution — binding arbitration in Massachusetts

Please read this carefully. Any dispute arising out of these Terms or the service will be resolved by BINDING INDIVIDUAL ARBITRATION in Massachusetts, administered under the AAA Commercial Arbitration Rules. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Either party may instead bring a qualifying claim in small claims court. Each party bears its own costs unless the arbitrator decides otherwise.

12. Governing law

Massachusetts law governs these Terms, without regard to conflict-of-law rules.

13. Changes

We may update these Terms; continued use after changes take effect constitutes acceptance. Material changes will be noted by updating the "Last updated" date above.

14. Termination

You may stop using the service at any time. We may suspend or terminate access for violation of these Terms or for any reason with reasonable notice.

15. General

If any provision is unenforceable, the rest remain in effect. These Terms are the entire agreement regarding the service. You may not assign your rights without our consent.
